Terms and Conditions

The ILite Terms and Conditions of Service (the "Terms") are a legal agreement between you and ILite LED Lighting and its affiliates (collectively, "ILite LED Lighting"). The Terms explain how you can use ILite's website and other services (the "Service").

By using the service, you agree to the terms. If you do not agree to the terms, do not use the service.

Agreement and Relationship Terms:

You must be at least 18 years old to use the ILite service. By using the service, you agree to follow these terms.

If you are using the service on behalf of a company, you must have the authority to bind the company to these terms.

Account Term:

You may need to create an account to use some features of the ILite Service. When you create an account, you must provide accurate and up-to-date information. You are responsible for maintaining the confidentiality of your account and password.

Sales Term:

Some features of the ILite Service, such as placing an order, may require you to pay fees. You will have a chance to review and accept the fees before you are required to pay them. Sales tax may be charged on your order.

Possibility of Loss Term:

The risk of loss and title to products purchased on or through the ILite Service passes to you upon delivery to the carrier.

Returns and Refund Terms:

If you are not satisfied with a purchase made through the ILite Service, you may be able to return it as set forth in the Returns Policy.

Product Availability and Descriptions Terms:

ILite strives to include accurate information and descriptions of products on the service, but it does not warrant that such information is accurate, complete, reliable, current, or free of errors. ILite reserves the right to modify, correct, or update information relating to any products available through the service at any time in its sole discretion, without prior notice. If you receive a product that is not as described on the service at the time of your order, your sole and exclusive remedy is to return the unused product as permitted pursuant to the returns policy.

User Content Terms:

• You can post content on the ILite Service, such as product reviews, images, photos, videos, images, text, and other types of works.
• You retain copyright and any other proprietary rights that you may hold in the user content that you post to the service.
• By posting or publishing User Content, you grant Lumens a worldwide, perpetual, irrevocable, non-exclusive, transferable, royalty-free right and licence (with the right to sublicense) to use, copy, host, store, transfer, display, publish, perform, reproduce, modify, translate, create derivative works of, and distribute your User Content, in whole or in part, in any media formats and through any media channels (now known or hereafter developed) at its sole discretion.
• You are solely responsible for your user content and the consequences of posting or publishing it.
• You agree to waive all moral rights that you may have in your user content that may prevent or contradict the use of your user content as contemplated by the Terms.
• You agree not to submit User Content that is false, inaccurate, or misleading, that violates any law, statute, ordinance, or regulation, that is or may reasonably be considered to be defamatory, libellous, hateful, racially or religiously biassed, or offensive, unlawfully threatening, or unlawfully harassing to any individual, partnership, corporation, or other entity, for which you were compensated or granted any consideration by any third party, that includes any information that references other websites, addresses, email addresses, contact information, or phone numbers, or that contains any computer viruses, worms, or other potentially damaging computer programmes or files.
• You agree that your User Content and the use of User Content as contemplated by the Terms do not and will not infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; violate these Terms or our Privacy Policy; or cause injury to any person or entity.

Intellectual Property Infringement and the Digital Millennium Copyright Act:

• ILite respects the intellectual property rights of others and encourages you to do the same.
• If you believe that your copyright or other intellectual property right is being infringed by a user of or material posted on the service, you may contact ILite's Designated Agent.
• Any notice alleging that materials hosted by or distributed through the Service infringe intellectual property rights must include the following information:
• An electronic or physical signature of the person authorised to act on behalf of the owner of the copyright or other right being infringed;
• A description of the copyrighted work or other intellectual property that you claim has been infringed;
• A description of the material that you claim is infringing and where it is located on the service;
• Your address, telephone number, and email address;
• A statement by you that you have a good faith belief that the use of the materials on the service of which you are complaining is not authorised by the copyright owner, its agent, or the law; and
• A statement by you that the above information in your notice is accurate and that, under penalty of perjury, you are the copyright or intellectual property owner or authorised to act on the copyright or intellectual property owner's behalf.
• ILite will promptly terminate without notice the accounts of users that are determined by ILite to be "repeat infringers." A repeat infringer is a user who has been notified of infringing activity more than twice and/or has had user content removed from the service more than twice.

ILite Prohibited Conduct

You may not use the ILite service for:

• Personal use other than as permitted by the Service and Terms of Service
• Illegal purposes or in violation of any law.
• Copying, reproducing, distributing, publishing, displaying, performing, transmitting, streaming, broadcasting, modifying, creating derivative works of, selling, licencing, or exploiting any part of the service
• Violating the rights of third parties, including infringement or misappropriation of intellectual property rights
• Posting, uploading, or distributing any user content or other content that is unlawful, defamatory, libellous, inaccurate, or objectionable
• Bypassing or interfering with any security or other features of the service, harvesting or mining user content or any other materials from the service, or otherwise accessing or using the service in a manner inconsistent with individual human usage
• Interfering with the operation of the Service or any user's enjoyment of the Service, including by uploading or disseminating viruses, adware, spyware, worms, or other malicious code; making unsolicited offers or advertisements to other users of the Service; attempting to collect personal information about users or third parties without their consent; or interfering with or disrupting any networks, equipment, or servers connected to or used to provide the Service, or violating the regulations, policies, or procedures of such networks, equipment, or servers
• Using, displaying, mirroring, framing, or utilising framing techniques to enclose the service or any portion thereof, unless and solely to the extent ILitemakes available the means for embedding any part of the service, such as materials related to products listed on the service,
• Performing any fraudulent activity, including impersonating any person or entity, claiming false affiliations, accessing the service accounts of others without permission, or falsifying your age or date of birth.
• Selling or otherwise transferring the access granted in the Terms or any Materials or any right or ability to view, access, or use any Materials
• Assisting or permitting any person to engage in or attempt to engage in any of the activities described
• You can only use the ILite Service for your own personal use and only in the ways that are allowed by the Service and Terms of Service.
• You cannot use the service for any illegal purposes or in a way that breaks any laws.
• You cannot copy, reproduce, distribute, publish, display, perform, transmit, stream, broadcast, modify, create derivative works of, sell, licence, or exploit any part of the service.
• You cannot violate the rights of other people, including their intellectual property rights.
• You cannot post, upload, or distribute any user content or other content that is illegal, defamatory, libellous, inaccurate, or objectionable.
• You cannot bypass or interfere with any of the security features of the service, harvest or mine user content or any other materials from the service, or otherwise access or use the service in a way that is not consistent with how individual humans should use it.
• You cannot interfere with the operation of the service or prevent other users from enjoying the service. This includes uploading or disseminating viruses, adware, spyware, worms, or other malicious code; making unsolicited offers or advertisements to other users of the Service; attempting to collect personal information about users or third parties without their consent; or interfering with or disrupting any networks, equipment, or servers connected to or used to provide the Service, or violating the regulations, policies, or procedures of such networks, equipment, or servers.
• You cannot use, display, mirror, frame, or utilise framing techniques to enclose the Service, or any portion thereof, unless and solely to the extent ILite makes available the means for embedding any part of the Service, such as materials related to products listed on the Service.

• You cannot sell or otherwise transfer the access granted in the Terms or any Materials or any right or ability to view, access, or use any Materials.

Disclaimer of Warranties

The ILite Service and all products, materials, and content available from or sold through the Service are provided "as is" and on an "as available" basis, without warranty or condition of any kind, whether express, implied, or statutory, unless otherwise specified in writing. The ILite Entities specifically (but without limitation) disclaim all warranties of any kind, whether express or implied, relating to the Service and all products, materials, and content available through the Service, including but not limited to:

• Any implied warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT
• Any warranties arising out of COURSE OF DEALING, USAGE, OR TRADE.

The ILite Entities do not warrant that the Service or any part of the Service, or any products (including prices, product images, specifications, availability, and other descriptions thereof), materials, or content offered or made available through the Service will be uninterrupted, secure, accurate, complete, reliable, or free of errors, viruses, or other harmful components, and do not warrant that any of the foregoing will be corrected.

Limitation of Liability

In no event will the ILite Entities be liable to you for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for loss of profits or revenue, cost of replacement goods, goodwill, use, data, or other intangible losses) arising out of or relating to your access to or use of, or your inability to access or use, the Service or any materials, content, products, or services on or available through the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, whether or not the ILite Entities have been informed of the possibility of such damage

The ILiteService and all products, materials, and content available from or sold through the service are provided "as is" and without warranty of any kind. The ILite Entities cannot be held liable for any damages arising out of or relating to your access to or use of the service.

If there are laws in your jurisdiction that apply to these Terms and create mandatory obligations, those local laws apply to the extent they are mandatory. All other issues and questions concerning the terms will be governed by the laws of the UK.Any lawsuit or court proceeding must be filed.

These Terms, together with the Privacy Policy and any other Additional Terms, constitute the entire agreement between you and ILite regarding your use of the Service. You may not assign or transfer these Terms or your rights under the Terms without our written consent. We may assign these terms at any time without notice.

If any part of these terms is held to be invalid or unenforceable, the remaining parts will remain in full force and effect. Any provision that, by its nature or express terms, should survive will survive such termination or expiration.

By using the ILite Service, you consent to receiving electronic communications from ILite. These communications may include notices, agreements, disclosures, or other communications. You agree that these electronic communications will satisfy any legal communication requirements, including that such communications be in writing.
